Consulting & Service Terms
A summary of the standard commercial terms under which SAP Security consulting and talent services are provided. The signed agreement for each engagement governs.

1. Contracting entity
All consulting, talent and support services described on this website are provided by LEXANTA PRIVATE LIMITED, trading as SAPSecurity.in. Agreements, statements of work, purchase orders and invoices are issued in the name of LEXANTA PRIVATE LIMITED.
2. Engagement documents
Services are delivered under a master services agreement, a statement of work or an engagement letter that describes scope, deliverables, duration, fees, key personnel and acceptance criteria. Website content does not form part of any contract. In the event of conflict, the signed engagement document prevails over this summary.
3. Engagement models
- Project consulting: defined scope and deliverables, typically on a fixed-fee or milestone basis, or time and materials with an agreed estimate.
- Specialist consulting and staff augmentation: named professionals engaged for an agreed period at a daily, hourly or monthly rate, working under the client’s direction where specified.
- Ongoing support: agreed monthly capacity or a retainer with defined service expectations and a review cadence.
4. Client responsibilities
Clients provide timely access to systems, information and personnel reasonably required for the engagement, and remain responsible for decisions regarding their own systems, business processes, change management and production changes. Access granted to our personnel is used only for the purposes of the engagement.
5. Fees, invoicing and payment
Fees are stated in the engagement document. Unless otherwise agreed, invoices are issued monthly in arrears for time-based work and on milestone completion for fixed-fee work, and are payable within 30 days of the invoice date. 6. Confidentiality
Each party keeps the other’s confidential information confidential and uses it only for the engagement. We are willing to sign a client’s non-disclosure agreement before receiving system details. Our personnel are bound by confidentiality obligations.
7. Data protection and security
Where an engagement involves access to personal data or client systems, the parties agree appropriate data processing terms and security requirements. We follow the client’s security policies applicable to contractors while working in client systems.
8. Intellectual property
Deliverables created specifically for a client are assigned or licensed to the client on payment, as set out in the engagement document. We retain rights in our pre-existing methodologies, tools, templates and know-how, which may be used to deliver the services.
9. Personnel and non-solicitation
We may substitute personnel of equivalent skill with notice. Engagement documents may contain reasonable non-solicitation provisions relating to consultants introduced through talent engagements.
10. Warranties and liability
Services are performed with reasonable skill and care by suitably experienced professionals. Except as expressly stated in the engagement document, no other warranties are given. Liability is limited as set out in the engagement document, typically to the fees paid under the relevant statement of work, excluding liability that cannot be limited by law.
11. Term and termination
Engagements run for the term stated. Either party may terminate for material breach that is not remedied within a reasonable period. Notice periods for time-based engagements are stated in the engagement document. Work performed up to termination is invoiced.
12. Governing law
Unless otherwise agreed in the engagement document, agreements are governed by the laws of India. International clients may agree alternative governing law and dispute resolution provisions in the engagement document.
